Extraordinary opportunity to work in venture capital in a well-established, growing San Francisco firm! You will be the first paralegal/legal analyst for this firm, reporting into a VP handling HR, SEC compliance, corporate governance and general legal. The reason for the opening is investment activity has grown, and the regulatory activity has grown as well. There is an aggressive new 5-year growth plan, including international offices and adding headcount locally and abroad. Your skills will be leveraged to help open the first European office. Overall, you will be helping with legal activities in the firm and some of the regulatory matters.
Anticipated duties include: coordination of all deal-related legal activities, attending investment team meetings, tracking deals, interfacing with various attorneys, tracking legal docs that go back and forth, helping the Chief Compliance Officer so he can stay on top of everything. Interfacing with the deal team, making sure document flow is at the pace needed, doing some low-level issue spotting per a deal checklist and the terms they look for. Will manage the NDA process, interfacing and coordinating, checking for any terms causing concern per a checklist; handling things on the deal side - when it is outside the US handling Know Your Customer (KYC) requests - coordinating those and gathering docs. Helping coordinate certain regulatory activities, on a quarterly basis, and certification policies using an online tool; following up with people, making sure they did the certification. Lower level filings – the VP does Form D filings for investment products; you will fill-out sub docs for deals, coordinate basic service agreements (standard terms with vendors) and manage the document flow process. Working with general partner entities - each partner has an investment in these various entities, handle document production, and help with amendments.
If you have a minimum of two years corporate legal experience, a good head on your shoulders, understand legal terms once explained, are super organized, will roll-up your sleeves, and enjoy working hard in a collaborative environment this will be an ideal opportunity for you!
