M&A Accounting Senior or Manager

Responsible for supporting the full spectrum of financial due diligence and technical accounting in connection with acquisitions including but not limited to: accounting due diligence phase through integration; including coordination of internal and external accounting resources, performance or coordination of internal control procedures and support of internal and external audits of M&A related accounting.
This is a hands-on role within the finance organization reporting to the Senior Director of Mergers and Acquisitions Accounting and will support the Chief Accounting Office on related projects.  This position requires the ability to prioritize, plan and multitask and is extensively detail oriented. This role will not have direct reports but will coach and mentor team members across the finance organization. The candidate will have opportunity to travel domestic and abroad. Title will be based on experience. Senior level candidates will be groomed to become a Manager.

Primary Functions:
  • Diligence and integration from accounting perspective
    • Assist the Corporate Development team with financial due diligence
    • Be a proactive liaison between Corporate Development, Sellers, and Shared Services departments
    • Work with Corporate Development and Seller teams to obtain closing balance sheet details and related sub-ledger information, customer master files, and other pertinent integration information
    • Assist Shared Services Accounting teams with the integration of billing, accounts receivable, accounts payable, and other accounting functions of the acquired businesses
  • Purchase accounting / Valuation
    • Review purchase agreements add acquired contracts to determine relevant impacts to opening balance sheet and integration activities
    • Review contractual arrangements and determine appropriate purchase accounting impact
    • Work with Shared Services Accounting to track and monitor working capital adjustments, escrow balances, and other contingencies as required
    • Prepare purchase price allocations and supporting schedules and hand-off to Shared Services Accounting
  • Other special projects as assigned
Education and Years of Experience:
  • Bachelor’s degree in Accounting, Finance, or Economics
  • CPA, MBA, or other advanced degree preferred
  • 3+ years of experience
  • Minimum 2 years of merger and acquisition accounting and/or midsize company financial statement auditing preferred
  • Big 4 Public Accounting experience strongly preferred
  • Ability to travel a minimum of 15%
Knowledge, Skills and Abilities: 
  • Self-starter with the ability to forecast and meet deadlines
  • Proficient in technical GAAP particularly in ASC 805 and related purchase accounting requirements
  • Detail oriented with the ability to work with minimal supervision
  • Accustomed to working in a fast-paced environment
  • Excellent verbal and written communication skills
  • Intermediate to advanced Excel skills
