Large, private company seeks an Assistant Controller/Accounting Manager for their East Bay office.  The Assistant Controller/Accounting Manager will manage the entire financial cycle from time tracking, payroll administration and analysis, benefits calculations and management, to creation of entity and department level financial statements including management of all the non-patient revenue and disbursement processing.  You will oversee the internal accounting controls and operations, monthly / year end close, financial reporting, revenue and expense analysis,
The candidate will work closely with the CFO organization to develop process flow and to ensure the service and collaboration and to facilitate the corporate level and enterprise level financial and tax reporting.

In this role, the candidate will have ownership for the integrity, accuracy, and informational quality of G/L, Fixed Assets, non-patient revenue billing and collections, accounts payable, payroll, time tracking, benefits accounting and participant communications, payroll and tax deposits and filing, cost and profit center accounting (P&L and B/S) for all entities in the enterprise which includes 35+ legal entities, 200+ profit centers.
The ideal candidate will have experience implementing cloud-based financial systems, transforming the accounting function and a passion for continuous improvement and brings innovative thought leadership. This position provides the right person the opportunity to have a hand in creating and developing the scalable foundation of the future financial accounting organization for the Enterprise. 

Essential Duties and Functions:
  • Internal control, audits, tax filing                                                                                           
  • Develops the internal control structure and accounting policies to comply with generally accepted accounting principles, tax and regulatory requirements, and business reporting requirements.
  • Assures that all financial parameters in the partnership agreement are implemented correctly. 
  • Reviews the K-1 allocations for over 2,000 partners and eighteen partnerships and ensures that the calculations are done in accordance with the respective partnership agreements and IRS regulations. 
  • Reviews and comments on financial statements including footnotes presented by the independent auditors prior to issuance of audited financial statements. 
  • Reviews each entity’s tax returns prepared by tax accountants, prior to filing with the federal and state agencies.
  • Researches the tax exposure on each state and works with the tax advisors to determine the most efficient tax income and composite tax approaches regarding the tax filing requirements of each state including a detailed analysis of the composite tax issues related to out of state business. 
  • Verifies that all entities comply with all federal and state tax regulations. 
  • Develops strategies to manage federal and state tax liabilities.
  • Oversees the regulatory employment, business, and property tax filings.
  • Assists Controller to prepare tax forecast.
  • Assists Controller to conduct medical groups’ tax planning.
  • Assists Controller to review all the partnership / composite returns.
  • Tracks and approves insurance cost.
  • Tracks and approves lease expenses.
  • Works with Revenue Cycle Management Director of Finance on the consolidated financial statements and tax returns.
  • Prepares income & excise tax returns to both federal and state agencies for twenty shell entitities 
  • Financial Budgeting & reporting/modeling                                                                 
  • Assists Controller to prepare the annual  budgets
  • Presents monthly internal financial statements to Controller and explains variances from budgets
  • Interprets operating results as they affect the financial aspects of the organization and makes specific recommendations, which will result in cost reduction and profit improvement
  • Provides financial modeling of potential costs including 401k match, profit sharing and real estate and equipment leases.
  • Provides the financial reports and calculates the financial ratio to meet the line of credit compliance.
  • Supervision of Accounting functions                                                    
  • Supervises the entire Accounting/ purchasing and departments. 
  • On-line approves all entities’ Accounts Payable disbursements items over $5,000.
  • Provides timely and meaningful written and verbal feedback to staff. 
  • Provides clear expectations and goals to meeting departmental, organizational and individual goals.
  • Works with the managers and employees to improve quality and efficiency.
  • Communicates with Client’s Medical Directors, Regional directors, VPs, and Presidents regarding payroll issues, strategies and procedures.
  • Develops policies and procedures for Clients related to finance related topics as needed.
  • Functions as the liaison with Union Bank, Bank of America, and US Bank regarding operational issues such as establishing new accounts, investing excess cash, credit cards, wire transfers and electronic banking.
  • Works with each corresponding bank to identify tools and features to improve our efficiency at the minimum cost.
  • Assists Controller to make partnership net income forecast.
  • Facilitates the web-based K-1 data sheet issuance and partner’s communication.
  • Facilitates the web-based capital and accrual account distribution after the audited financial statements are completed.
  • Reviews annual separated partners’ payouts
  • Reviews the partners’ advancement schedule and assure timely capital contribution in accordance with the respective partnership agreement.
  • Reviews partners’ capital and accrual account allocations and assure completion in accordance with the partnership agreement
  • Communicates with the partners on their capital accounts and net income allocation issues.
  • Explains the taxable nature of accrual account distributions to partners, partner’s accountants and lawyers.
  • Answer questions from client physicians’ accountants and lawyers related to taxes, 
  • Other responsibilities                                                                                                                     
    • Reviews equipment and real estate leases to determine they are economically appropriate relative to other sources of financing
    • Educates other department managers regarding coding, compliance with IRS regulations, budgeting and other financial initiatives.
    • As an officer of the organization, signs checks and other documents assigned by management and initiates and approves electronic transfers of funds.
    • Participates on the new contract start up team providing support for all financial areas, acquiring business and tax licenses, setting up new banking relationships, and understanding the local, state and federal tax issues in California and other states our clients wish to do business.
    • Participates on the new entity start up team researching on the state / local income, employment, and business tax regulations and providing support for obtaining the required licenses.
    • Performs other related duties assigned by management
    • Responsibilities include all fiscal period close processes, financial reporting, financial systems maintenance, internal controls and regulatory compliance procedures, payroll tax filing, and integration of all corporate accounting initiatives
  • Ownership of the service level agreements with all the clients throughout the enterprise


  • 8-10 years of accounting management experience. 
  • Bachelor degree in Accounting or Finance; Professional certification (CPA)
  • 4 years of experience with a “Big 4” or other professional accounting firm; plus 1-2 years of industry experience
  • Experienced with NetSuite ERP.
  • Technical experience related to GAAP and reporting including SEC reporting, stock option
  • Accounting, mergers and acquisitions, software revenue recognition, and Sarbanes-Oxley.
  • Excellent skills in Excel, PowerPoint; experience with MS Office Suite.
  • Systems knowledge: Accounting software, Microsoft office.
